These Terms of Use (“Terms”) govern your access to and use of the website operated by INDUPLC AUTOMATION LIMITED at https://www.induplc.com (the “Site”), including product listings, technical articles, inquiry forms, and related online materials. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. About the Site
INDUPLC provides information and inquiry channels for industrial automation spare parts, including PLC modules, DCS cards, servo drives, HMI equipment, and related industrial electronics. The Site is a business information and lead-generation channel. Content on the Site does not, by itself, create a binding offer to sell. Prices, lead times, warranty terms, Incoterms, and other commercial conditions are confirmed only in written quotations, purchase orders, or contracts accepted by both parties.
2. Eligibility and account-free use
The Site is intended for professional and corporate users involved in procurement, maintenance, engineering, or system integration. 4. Product information and availability
We strive to keep model numbers, descriptions, and status information accurate. Industrial parts may vary by revision, firmware, origin, or packaging. Photographs may be illustrative. Stock indications can change quickly. Before relying on a specification for a critical shutdown or safety application, confirm details with our sales or engineering team. Nothing on the Site guarantees that a listed item is in stock or authorized for a particular end use, export destination, or regulated application.
5. Inquiries, quotes, and orders
Submitting an inquiry authorizes us to contact you using the details provided. Quotes are valid only for the period stated in the quote (or a reasonable short period if unspecified) and may change due to supplier pricing, currency, or logistics. An order is formed only when we issue a written acceptance or confirm in a mutually agreed format. Payment, delivery, inspection, returns, and warranty for purchased goods are governed by the transactional documents, not solely by these website Terms.
6. Acceptable use
You agree not to: attempt to gain unauthorized access to the Site or related systems; introduce malware; overload or disrupt the Site; use automated harvesting to extract large volumes of product data without permission; impersonate others; submit unlawful, defamatory, or infringing content; or use the Site to facilitate fraud, export-control evasion, or other illegal activity. 9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDUPLC AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY ARISING OUT OF SITE USE (AS DISTINCT FROM A SEPARATE GOODS CONTRACT) SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US SOLELY FOR WEBSITE-RELATED SERVICES IN THE THREE MONTHS BEFORE THE CLAIM, IF ANY, OR (B) ONE HUNDRED US DOLLARS. The Site may link to manufacturer documentation, logistics trackers, or other third-party resources. We do not control and are not responsible for third-party sites, their availability, or their terms. Accessing them is at your own risk.
12. Export and compliance
You are responsible for complying with applicable export control, sanctions, and import laws when requesting or purchasing parts. You must not use the Site to seek items for prohibited end uses or destinations. We may request end-user information and decline requests that raise compliance concerns.
13. Changes
We may modify these Terms by posting an updated version with a new effective date. Material changes may also be highlighted on the Site. Continued use after changes become effective constitutes acceptance where permitted by law. If you do not agree, stop using the Site.
14. Governing law and disputes
These Terms are governed by the laws applicable to INDUPLC’s place of incorporation or principal place of business, without regard to conflict-of-law principles that would require another jurisdiction’s law, except where mandatory consumer or local rules apply. Parties shall first attempt good-faith negotiation. If unresolved, disputes arising from Site use may be submitted to the courts or arbitration forum with jurisdiction as required by applicable law or as separately agreed in writing for a commercial transaction.
15. Miscellaneous
If any provision of these Terms is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any written commercial agreements for specific orders, constitute the entire agreement regarding Site use. In case of conflict between these Terms and a signed sales contract, the sales contract controls for that transaction.
